Welcome to Privly. These Terms of Service ("Terms") govern your access to and use of the Privly website, platform, applications, integrations, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
Privly is a software platform that helps creators, educators, community operators, and digital businesses manage memberships, private communities, premium content, private messaging, digital products, consultations, and team workflows.

Privly provides platform infrastructure and tools. We do not act as the creator, publisher, seller, buyer, or end-customer in transactions between users except where explicitly stated.
You must be at least 18 years old and legally able to enter into a binding agreement to use Privly. By using the Service, you represent and warrant that you meet these requirements.
If you use the Service on behalf of a business or other entity, you represent and warrant that you are authorized to bind that entity to these Terms.

By uploading or using User Content on Privly, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, process, and use that content as necessary to operate, secure, improve, and provide the Service.

We do not guarantee review or approval of User Content. We may remove, restrict, or refuse any content at our sole discretion.
You may not use Privly to upload, distribute, promote, or monetize content or services that are unlawful, infringing, fraudulent, unsafe, or prohibited by our policies, payment providers, banking partners, or applicable law.

We reserve the right to define and update prohibited categories as necessary for compliance, safety, and operational integrity.
Privly allows creators and operators to offer memberships, subscriptions, gated content, and restricted community access.
Creators are responsible for:
Privly may automate certain access-control actions, including granting or revoking access when a subscription begins, expires, is canceled, or fails to renew.
We are not responsible for disputes arising from inaccurate descriptions, missed expectations, or creator conduct.
Privly may provide private messaging tools and allow account owners to authorize team members or staff to access certain features on their behalf.
If you invite team members, assistants, managers, or chat operators to use the Service for your account or communities:
We may provide controls, logs, permissions, and performance metrics, but we are not liable for the conduct of your team members or for internal business disputes between you and them.
Privly may integrate with third-party payment processors and payment methods, including card payments, digital wallets, cryptocurrency, account balances, or other supported payment methods.
By using paid features, you understand and agree that:
We do not guarantee that any specific payment method, processor, region, or payout route will remain available.
Privly may charge platform fees, service fees, software fees, processing-related fees, or other fees disclosed through the Service.

If a transaction is reversed, charged back, refunded, fraudulent, or otherwise invalidated, we may deduct the relevant amount from your balance or future payouts.
If the Service supports creator or seller payouts, you may be required to complete identity verification, tax information submission, or additional onboarding before receiving funds.
We may suspend, limit, or delay payouts if:

You are responsible for determining, collecting, reporting, and paying any taxes applicable to your use of the Service, your sales, your purchases, or your earnings, except where we are legally required to do so.

Except where required by law or expressly stated otherwise, purchases made through the Service are final and non-refundable.

Our total liability for any claim arising out of or related to the Service will not exceed the total amount of fees you paid to Privly during the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Privly and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising from or related to:

We may also update these Terms from time to time. When we do, we will update the "Last updated" date above. Continued use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms.
These Terms will be governed by and construed in accordance with the laws of the jurisdiction in which Privly is established, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved in the courts of competent jurisdiction designated by Privly, unless otherwise required by applicable law.
